Welcome to Pro-Acoustic, a multi-vendor platform where vendors can sell acoustic products and customers can purchase high-quality acoustic solutions. By accessing or using our website, you agree to comply with the following Terms and Conditions. Please read them carefully.
1. Acceptance of Terms
By signing up or using Pro-Acoustic, whether as a vendor or a customer, you agree to abide by these Terms and Conditions, which govern your use of our website and services. Failure to comply with these terms may result in termination of your account or access to the platform.
2. Account Registration
- For Vendors: To list products on Pro-Acoustic, vendors must complete the registration process by providing accurate business information. Vendors are responsible for maintaining the confidentiality of their account credentials and are fully responsible for all activities under their account.
- For Customers: Customers must create an account to make purchases. Personal information provided during registration must be accurate, and customers are responsible for maintaining the security of their account.
3. Vendor Responsibilities
Vendors on Pro-Acoustic are required to:
- Product Listings: Ensure all product descriptions, images, and specifications are accurate, up-to-date, and comply with legal standards.
- Quality Assurance: Vendors must guarantee that their products meet the quality and safety standards required by law and specified on the platform.
- Order Fulfillment: Timely process and ship customer orders as per the specified timelines. Failure to do so may result in penalties or suspension from the platform.
- Compliance: Vendors are responsible for obtaining any necessary licenses, permits, and certifications related to their products and for adhering to all relevant laws and regulations, including those concerning privacy, intellectual property, and consumer protection.
4. Customer Responsibilities
Customers agree to:
- Accurate Information: Provide accurate information during the ordering process and ensure the payment details are valid and up-to-date.
- Prohibited Activities: Not engage in fraudulent activities, misuse the platform, or submit false claims against vendors or products.
5. Transactions and Payments
- For Vendors: Payments will be processed via a third-party payment processor. Vendors are responsible for any transaction fees, and Pro-Acoustic will disburse payments to vendors after successful completion of customer transactions.
- For Customers: Payment must be made at the time of purchase. Pro-Acoustic uses secure payment methods to protect customer financial data.
- Refunds and Cancellations: Each vendor may have their own return and refund policy. Customers must review individual vendor policies before purchasing. Pro-Acoustic may mediate disputes between vendors and customers but is not liable for product issues unless explicitly stated.
6. Platform Use
- Prohibited Content: Vendors are prohibited from listing products that violate any intellectual property laws, infringe on others’ rights, or are illegal.
- Suspension and Termination: Pro-Acoustic reserves the right to suspend or terminate vendor and customer accounts for violations of these T&Cs, fraudulent behavior, or misuse of the platform.
7. Intellectual Property
- Vendor Content: Vendors retain ownership of the content (product descriptions, images, etc.) they upload to the platform. However, by using Pro-Acoustic, vendors grant us a non-exclusive, royalty-free license to use, display, and promote their content.
- Platform Ownership: All content provided by Pro-Acoustic, including logos, designs, and text, is the intellectual property of Pro-Acoustic and may not be used without our express permission.
8. Limitation of Liability
Pro-Acoustic is a platform connecting vendors and customers. We are not responsible for the quality, safety, legality, or accuracy of vendor products. Vendors and customers agree to indemnify and hold Pro-Acoustic harmless from any claims, liabilities, or damages arising from product sales, usage, or customer complaints.
9. Dispute Resolution
- Vendor Disputes: Any disputes between vendors and customers should first be addressed between the involved parties. Pro-Acoustic may assist with dispute mediation but is not responsible for resolution.
- Legal Action: Any disputes that cannot be resolved through mutual discussion will be subject to the jurisdiction of courts in the USA.
10. Changes to Terms
Pro-Acoustic reserves the right to modify these Terms and Conditions at any time. Significant changes will be communicated to vendors and customers, and continued use of the platform after updates will signify acceptance of the new terms.
